These Terms and Conditions (“Agreement”) are entered into by [Your Company Name], a business duly licensed under the laws of the Commonwealth of The Bahamas (“Consultant”), and (“Client”).
1. SERVICES
Terms & Conditions - The Basics
1. SERVICES
The Consultant agrees to provide the professional services described in the Statement of Work (SOW) or Proposal attached to this Agreement. Any changes to the scope of work must be agreed upon in writing by both parties.
2. FEES AND PAYMENT

Professional Fees: Client shall pay the fees as specified in the Proposal.

Value Added Tax (VAT): All fees are subject to VAT (currently 10%) in accordance with the Value Added Tax Act 2014 of The Bahamas, unless the services qualify for zero-rating or are otherwise exempt.

Payment Terms: Invoices are payable within [e.g., 14 days] of receipt. Late payments may incur a fee of [e.g., 2%] per month.

Expenses: The Client shall reimburse the Consultant for reasonable out-of-pocket expenses (travel, lodging, etc.) incurred in the performance of the services, provided they are pre-approved.

3. CLIENT OBLIGATIONS
The Client agrees to provide the Consultant with timely access to all information, personnel, and resources reasonably required to perform the services. The Consultant is not liable for delays caused by the Client’s failure to provide such information.
4. CONFIDENTIALITY
Both parties agree to keep all non-public information received from the other party strictly confidential. This obligation extends beyond the termination of this Agreement.
5. INTELLECTUAL PROPERTY

Deliverables: Upon full payment of all fees, the Client shall own the final deliverables produced specifically for them.

Consultant Tools: The Consultant retains ownership of all pre-existing tools, methodologies, and templates used to perform the services.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by Bahamian law, the Consultant’s total liability for any claims arising out of this Agreement shall be limited to the total amount of fees paid by the Client under this Agreement. The Consultant provides advice and recommendations; final business decisions remain the sole responsibility of the Client.
7. TERMINATION
Either party may terminate this Agreement by providing [e.g., 30 days] written notice. If the Client terminates the project early, they are responsible for paying for all work completed up to the date of termination.
8. COMPLIANCE WITH LOCAL LAWS
The Consultant warrants that it holds a valid Bahamas Business Licence and is in compliance with the Business Licence Act 2023.
9. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of The Bahamas. Any disputes arising shall be subject to the exclusive jurisdiction of the Bahamian courts.
